1. PROGRAMME-SPECIFIC TERMS ( The Workforce Leaders AI Programme)
1.1 Intellectual Property
1.1.1 All intellectual property rights in and to all materials, content, frameworks, methodologies, presentations, and documentation provided by Talent Intelligence Partners in connection with the Programme (“Materials”) shall remain the exclusive property of Talent Intelligence Partners.
1.1.2 The Client is granted a non-exclusive, non-transferable licence to use the Materials for its internal business purposes only.
1.1.3 The Client shall not, without the prior written consent of Talent Intelligence Partners:
1.1.4 Any materials, data, or information provided by the Client during the Programme shall remain the property of the Client.
2 AI and Advisory Disclaimer
2.1 The Programme content is provided for general informational and educational purposes only and does not constitute legal, regulatory, financial, or technical advice.
2.2 Talent Intelligence Partners makes no representation or warranty as to the accuracy, completeness, or applicability of any information, including any outputs, examples, or use cases involving artificial intelligence technologies.
2.3 The Client acknowledges that any decisions or actions taken based on the Programme content are at its own risk and discretion.
3 Confidentiality
3.1 Each party agrees to keep confidential any confidential information disclosed by the other party in connection with the Programme.
3.2 The Client acknowledges that the Programme may involve discussions between participants and agrees not to disclose or use any confidential information shared by other participants without their prior consent
3.3 This clause shall survive termination of the Booking.
4 Participant Conduct
4.1 The Client shall ensure that all participants attending the Programme behave in a professional and respectful manner.
4.2 Talent Intelligence Partners reserves the right to refuse admission to, or remove from the Programme, any participant whose behaviour is, in its reasonable opinion, disruptive, inappropriate, or detrimental to the experience of other participants.
4.3 No refund shall be provided in such circumstances.
5 Substitution of Participants
5.1 The Client may substitute a named participant at any time prior to the Programme start date by providing written notice to Talent Intelligence Partners.
5.2 Talent Intelligence Partners reserves the right to refuse substitution where it reasonably considers the substitute participant to be inappropriate for the Programme.
6 Programme Delivery and Minimum Numbers
6.1 Talent Intelligence Partners reserves the right to:
provided that such changes do not materially affect the overall quality of the Programme.
6.2 Talent Intelligence Partners reserves the right to reschedule, consolidate, or cancel the Programme where minimum participant numbers are not met.

7 Learning Outcomes Disclaimer
7.1 Talent Intelligence Partners does not guarantee any specific business, financial, operational, or organisational outcomes as a result of participation in the Programme.
8 Recording and Use of Content
8.1 Talent Intelligence Partners may record parts of the Programme for quality, training, and promotional purposes.
8.2 By attending the Programme, participants consent to such recording, provided that Talent Intelligence Partners shall not identify participants or attribute comments without prior consent.
8.3 Talent Intelligence Partners may use anonymised insights and aggregated outputs derived from the Programme for research, marketing, and content development purposes.
9 Data Protection
9.1 Each party shall comply with all applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR).
9.2 The Client acknowledges that it is responsible for ensuring that any personal data it shares in connection with the Programme is shared lawfully.
9.3 Participants shall not upload or disclose confidential, sensitive, or personal data into any artificial intelligence tools used during the Programme unless expressly permitted and appropriate safeguards are in place.
10 Payment Terms for Programme
10.1 Unless otherwise agreed in writing, all fees for the Programme shall be payable in full prior to the Programme start date.
10.2 Talent Intelligence Partners reserves the right to refuse participation where payment has not been received in accordance with this clause.
11 Cancellation by Client
11.1 If the Client cancels its participation in the Programme:
11.2 If more than 30 days’ notice is given, the Client may request to transfer its place to a future Programme date, which Talent Intelligence Partners may agree to at its discretion.
12 Programme Format
12.1 Talent Intelligence Partners reserves the right to deliver the Programme in person, virtually, or in a hybrid format.
12.2 Where delivery format changes are required, Talent Intelligence Partners shall not be obliged to provide any refund, provided that the Programme remains substantially similar in content and value.
